Terms and Conditions of Sale

I. Identification and Contact Information This website, www.mipaagricola.it (“Website”), is managed by Mipa Agricola s.s. di Michele Ruberto & C. (“Mipa Agricola”), VAT number 02242700710, REA number FG – 204037. Our main office is located in Località Coppamontone, 71122 Foggia (FG). You can contact us by using the contact form on our website, sending an email to info@mipaagricola.it, or calling +39 0881 021012. The following Terms and Conditions govern the offer and sale between Mipa Agricola and the customers (“Customer”), whether they are consumer customers (“Consumer”) or professional customers (“Professional”).

II. Service Regulations and Nature
Mipa Agricola provides Extra Virgin Olive Oil derived from its own agricultural farm and produced through a circular economy process, as well as products obtained through its use, its derivatives and/or by-products, including those made with the addition of olive leaves (“Products”).
The e-commerce activity is exclusively aimed at adult end users. Therefore, to proceed with a purchase, it is necessary to declare that the customer is of legal age. Mipa Agricola reserves the right to refuse service to anyone for any reason and at any time. Mipa Agricola’s services are not available in jurisdictions where they are prohibited by law. Access to the Website does not require customer registration. Distance selling contracts concluded through the Website are governed, in addition to these general terms and conditions of sale (“General Terms”), by Legislative Decree 206/2005 and subsequent amendments, and by Legislative Decree 70/2003 and subsequent amendments. These General Terms constitute an integral and substantial part of contracts concluded through the Website and, pursuant to Article 12 of the Electronic Commerce Directive, may be viewed, stored, and reproduced by viewing this page of the Website. Mipa Agricola will notify the Customer of any changes to the General Terms. In such cases, these changes shall be effective only after publication on the Website and shall apply only to sales completed after said publication. Once the online purchase procedure is completed, the Customer will print or save an electronic copy and, in any case, retain these General Terms in compliance with Articles 3 and 4 of Legislative Decree 185/1999 on distance selling. Therefore, the submission of the order confirmation implies full knowledge of and complete acceptance of these terms. The Customer waives any right to request compensation for damages or indemnification from Mipa Agricola, as well as to attribute any contractual or non-contractual responsibility for direct or indirect damages to persons and/or things caused by the failure to accept, even partially, an order.

III. General Information and Acceptance of the General Terms of Sale
The contract between Mipa Agricola and the Customer is considered concluded upon the acceptance, even partial, of the order by Mipa Agricola. Such acceptance is deemed tacit unless otherwise communicated to the Customer in any form.
As a result of the orders placed by the Customer and duly received and accepted by Mipa Agricola, this contract establishes that Mipa Agricola transfers or undertakes to transfer the ownership of the goods to the Customer, who, in turn, agrees to pay or undertakes to pay the purchase price.
The Products will remain the property of Mipa Agricola until the Customer has paid the purchase price, any shipping costs, and any other additional costs, as indicated in the purchase order and according to the terms specified in the following sections.

IV. Products, Prices, and Shipping Costs
The Products available for purchase are presented and described on the Website, in printed or electronic catalogs, and are also presented by phone.
The duration of promotions and offers, if applicable, is indicated alongside the respective product or offer, as well as the prices applied.
The Product offers published on the Website or sent by email have a limited duration, always indicated, and are valid until stocks are depleted. The expiry date of the offers is specified on the Website and communicated to the Customer if registered.
All sale prices of the Products shown and indicated on the website www.mipaagricola.it, which constitute a public offer pursuant to Article 1336 of the Italian Civil Code, are expressed in euros (EUR) and include VAT at the applicable rate in accordance with agreements between Member States.
Mipa Agricola serves the end consumer, who receives the purchased products. VAT-registered entities that wish to receive an invoice must request it at the time of the order, providing all relevant tax details, particularly the VAT number and the electronic invoicing code, by emailing: commerciale@mipaagricola.it.
The prices communicated to professional operators are exclusive of VAT. Products shipped and delivered to professional operators within the European Union (except for Italy) will be invoiced excluding VAT. Products shipped and delivered outside the European Union will be invoiced excluding VAT, subject to verification of any import restrictions for the products in the specific country.
Any taxes, customs duties, and other charges applicable in the destination country (if different from Italy) remain the responsibility of the Customer and must be paid by the Customer at the time of delivery directly to the relevant fiscal or customs authorities, or to the courier responsible for the delivery.
All prices are subject to change without notice; however, once the product order is placed, the price will not change.
The transportation cost, both national and international, is clearly displayed at the time of the order and must be reviewed by the Customer before confirming the purchase. The cost is entirely borne by the Customer. In the case of international deliveries, any additional costs due to taxes or duties required by the regulations of the destination country will also be borne by the Customer.
The shipping cost varies depending on the number of products, weight, or destination of the goods. The shipping fee is always indicated and visible during the purchasing process.
Shipping costs and any other potential additional charges, including VAT and expressed in euros (€), will be clearly and separately stated on the order form before the Customer proceeds to submit it, as well as in the order acceptance email from Mipa Agricola. This excludes costs and charges (e.g., customs duties) specific to the destination country.
For bulky packages or products of particular value or complexity, an additional contribution may be required. The amount of this charge depends on the product being delivered and will be clearly indicated in the documentation – whether paper or electronic – that finalizes the order.
Any ancillary charges, where applicable, are indicated next to the Product to which they apply.

V. Orders, Accepted Payment Methods, and Order Cancellation

By placing an order, the Customer declares that they have reviewed all the information provided during the purchase procedure and, consequently, fully accepts the General Terms and payment conditions outlined below.
To proceed with purchase orders, the Customer must provide all required information accurately, truthfully, and completely in the relevant form. This data will be processed in compliance with privacy regulations as per Legislative Decree 196/2003.
The Customer can only purchase the Products available in the catalogue at the time of order submission and visible online at www.mipaagricola.it, as described in the relevant product details. It is understood that the image accompanying the product description may not perfectly represent its characteristics.
Mipa Agricola regularly updates the e-commerce section of the Website.
The Products available on the Website are made available to all Customers who access the site; therefore, it may occur that a product selected by a Customer and listed during the purchase process may be purchased by other Customers in the meantime.
Mipa Agricola undertakes, in accordance with the law, to promptly inform the Customer of any unavailability of the ordered product.
Unless otherwise specified in the Right of Withdrawal section, submitting the order by the Customer constitutes acceptance of potential partial delivery, limited to the available Products within the ordered items, and a waiver of any request for compensation and/or indemnity on this account.
In any case, Mipa Agricola is not responsible for server malfunctions preventing updates to product availability or for the unavailability of products due to purchases made by other Customers.
If the merchandise is not available in the desired quantities, the Customer can contact Mipa Agricola by email at info@mipaagricola.it to receive further information about the product and the expected restocking time.
After placing an order, Customers may receive a confirmation email detailing the ordered Products and the total cost. Mipa Agricola reserves the right to cancel an order at any time before shipment in the case of unforeseen circumstances.
To order the Products, the Customer must complete an electronic order form and submit it to Mipa Agricola, following the instructions on this Website. To complete the electronic order form, the Customer:
• Has the option to select one or more Products to add to a virtual cart, which can be viewed and modified until the order is submitted.
• Must provide a valid email address and indicate the shipping details, shipping method, and payment method; these details can also be viewed and modified until the order is submitted.
By proceeding with the order and submitting it, the Customer declares: their intention to purchase the ordered Products; their awareness and acceptance of the price, shipping, and payment terms as outlined in the order procedure and these General Terms, as well as the General Terms themselves, the conditions for exercising the right of withdrawal, and the privacy policy.
By transmitting the order electronically, the Customer acknowledges and unconditionally accepts these General Terms, committing to observe them in dealings with Mipa Agricola. If, however, the Customer disagrees with even a single part of these General Terms, they are invited not to submit the order form for purchase on the Website.
The Customer has the option to review a summary of the order and print it before final submission.
The contract is concluded when Mipa Agricola receives the order request electronically, following the verification of the accuracy of the related data, reserving the right not to process purchase orders that are incomplete or incorrect or involve products no longer available, notifying the Customer by email as well.

Mipa Agricola accepts the following payment methods: payment cards from the Visa and MasterCard networks, advance bank transfer, PayPal, and cash on delivery.
Mipa Agricola reserves the right to request the Customer to send a copy of identity documents proving the ownership of the credit card used for payment. In the absence of the requested documentation, Mipa Agricola may not accept the order and, consequently, not conclude the contract.
In the case of payment via advance bank transfer, the items ordered by the Customer will be reserved until proof of the transfer is received, to be sent to Mipa Agricola at the email address commerciale@mipaagricola.it within 5 working days from the order acceptance date. Shipment of the ordered items will only occur upon the actual crediting of the amount due to Mipa Agricola’s bank account, which must happen within 7 working days from the order acceptance date. The bank details for making the transfer are as follows:

After these deadlines, the order will be considered automatically non-binding for Mipa Agricola.
The reason for the bank transfer must include the order reference number, the Consumer’s name and surname, or the name of the company or individual if the order is made by a professional.
Cash on delivery (COD) is accepted as a payment method at the time of delivery, which will incur an additional charge of €7.00. Please note that COD can only be managed with shipments entrusted to the couriers selected by Mipa Agricola and is excluded in all other cases. Additionally, the only accepted form of COD payment is in cash, to be handed directly to the Mipa Agricola courier.
Order fulfillment is managed carefully and, in any case, requires some time. Unless otherwise stated, products purchased from Mipa Agricola will be shipped within seven working days from the receipt of payment or from the order in the case of COD. We ship worldwide.
Delivery is considered completed when the ordered goods are delivered by the courier.
If these terms cannot be met (e.g., out-of-stock products), Mipa Agricola commits to notifying the Customer via the most timely method available, informing them when the products can be delivered.
Orders will be delivered to the address indicated by the Customer during business days and hours. Upon delivery of the products by the courier, the Customer, or any other person appointed by them, must check that the number of parcels corresponds to what was communicated and that the packaging is intact.
Mipa Agricola cannot be held responsible for delivery errors due to inaccuracies or incomplete information provided by the Customer during the order, nor for any damage that may occur to the products after delivery.
In case of non-delivery due to the recipient’s absence, the products will be returned to Mipa Agricola, which will contact the Customer to arrange a new delivery. The additional delivery costs will be borne by the Customer.
If the carrier is chosen by the Customer outside of the couriers proposed by Mipa Agricola during the purchase (“Courier”), the responsibility for re-delivery, as well as the risk of damage or loss of the products, is transferred to the Customer at the moment of delivery to the carrier, precluding any subsequent involvement of Mipa Agricola. In this case, any complaints must be made directly to the carrier.
Mipa Agricola cannot be held responsible for any events or circumstances that may delay or hinder shipment and delivery, attributable to the Courier, the carrier, or force majeure.
The products travel at the Customer’s risk and are shipped with insurance coverage only with the explicit acceptance and payment of the additional insurance fee by the Customer.

Customers can cancel their order within 24 hours of placing it, provided that the order has not yet been shipped. To cancel an order, the Customer must access the dedicated section of their account and request the cancellation, or contact Mipa Agricola at commerciale@mipaagricola.it.
In the event of order cancellation, either by the Customer or by Mipa Agricola (in the case of non-acceptance of the order), the transaction cancellation will be requested. Once the transaction cancellation has been processed, Mipa Agricola cannot be held liable for any direct or indirect damages caused by the delay in this operation.

VI. Damaged Goods Upon Delivery, Defective or Non-Conforming Products

Mipa Agricola carefully inspects the products at the time of shipment. As mentioned previously, the products are shipped at the Customer’s risk, whether the shipment is entrusted to a carrier chosen by the Customer or to a courier proposed by Mipa Agricola. Therefore, any complaints regarding delivery must be addressed directly with the carrier or courier, and Mipa Agricola cannot be held responsible.
However, if the shipment is entrusted to a courier proposed by Mipa Agricola and the Customer has opted for and paid for insurance coverage during the order process on the Website, the following conditions apply:
Any damages or shortages should be reported to the courier at the time of delivery. The Customer must clearly note the complaint in writing on the delivery slip (both the copy kept by the Customer and the one retained by the courier) or digitally if the courier only uses digital forms (ensuring that a photo of the display showing the annotation is taken). The Customer must promptly notify Mipa Agricola by filling out the contact form on the Website, describing the issue, and providing their name, order number, a detailed description of the defect, and attaching a copy of the delivery slip (or photo of the display) with the noted issue, along with any photographs of the damaged goods. This communication, with the necessary attachments, must be sent to Mipa Agricola within 3 (three) days of delivery.

If the package delivered by the courier is damaged, broken, or stained due to product leakage, the Customer must reject the shipment, indicating the reason for the rejection on the courier’s delivery slip (either in writing or digitally, as explained earlier). Mipa Agricola will arrange for the return of the shipment via the courier at no additional cost to the Customer.

If the shipment consists of multiple packages and only some are damaged, the Customer has the right to refuse the delivery of the damaged package(s) only, signing the courier’s delivery document with “with reservation” and indicating the number of damaged and returned packages. Mipa Agricola will also handle the return of the shipment via the courier without additional costs to the Customer.

Once the courier document is signed without annotations or without communication and attachments sent to Mipa Agricola within the specified time, the Customer cannot raise any complaints.

Any defects that are not related to shipping must be reported in writing to Mipa Agricola within 3 (three) days of discovering the issue, and in any case, within 7 (seven) days of delivery. If no notification is sent to Mipa Agricola within these time frames, the Customer cannot raise any complaints.

Mipa Agricola will examine the complaint in a reasonable time frame, and if it is found to be valid, will agree with the Customer on replacing the missing or damaged parts or processing their return.

Only if the Customer has paid for insurance coverage will the damaged product be replaced by Mipa Agricola at no cost to the Customer within 15 (fifteen) working days from delivery. If the product to be replaced is out of stock, the Customer will be contacted promptly to agree on an alternative replacement with another product of equal value, after sending a signed “replacement confirmation” form, or the refund of the paid product price, which Mipa Agricola will process within 15 (fifteen) working days.
If Mipa Agricola and the Customer agree on the return of the goods, they must be received by Mipa Agricola in perfect condition and in the original packaging.

The refund for returned goods, depending on their condition upon arrival, will be made via bank transfer to the IBAN provided by the Customer.

Except for defective or non-conforming products, any other complaints can only be raised with Mipa Agricola if the shipment was made via a courier proposed by Mipa Agricola and the Customer opted for and paid for the insurance coverage.

VII. Exclusion of Liability
In no case shall Mipa Agricola be held responsible for any failure to fulfill any obligations arising from these General Terms and Conditions of Sale if the failure is caused by force majeure or unforeseeable events. This includes, but is not limited to, natural disasters, terrorist acts, network malfunctions, or blackouts.
Mipa Agricola will not be liable for any direct, indirect, incidental, consequential, or special damages arising from or in connection with the use of the services or content on the Website.
Mipa Agricola will not be responsible for any direct or indirect damage to people and/or property resulting from the shipment of products.
Mipa Agricola assumes no responsibility for service interruptions caused by force majeure or unforeseeable events, such as accidents, thefts, and/or robberies of the courier entrusted with the delivery, fires, explosions, strikes and/or lockouts, earthquakes, floods, and similar events that would prevent, in whole or in part, the execution of the contract within the agreed-upon timeframes and conditions.
Mipa Agricola will also not be responsible for any damages, losses, or costs incurred due to the non-execution of the contract for the above-mentioned causes. The Customer is only entitled to the return of the price paid from the courier, who is solely responsible.

VIII. User Account, Content Restrictions, and Intellectual Property
Users are prohibited from publishing or transmitting any illegal, harmful, threatening, harassing, defamatory, vulgar, obscene, sexually explicit, discriminatory, or otherwise objectionable material of any kind through Mipa Agricola’s Website, including but not limited to any material that encourages conduct that would constitute a criminal offense, result in civil liability, or violate any local, state, national, or international law.

It is strictly prohibited to enter false and/or invented personal data in the data collection forms necessary for processing orders. It is also forbidden to enter third-party data or make multiple registrations under a single Customer account. The Customer is considered solely responsible for any violations and abuses. Mipa Agricola reserves the right to take legal action against any violation or abuse, in the interest and protection of all Customers.

Textual content, images, graphics, and any other elements published on the Website are the property of Mipa Agricola. Any improper use of intellectual property is strictly prohibited.

IX. Right of Withdrawal
Customers have the right to withdraw from the contract within 15 (fifteen) days without providing any reason. The withdrawal period will expire 5 (five) days from the delivery, or from the day the Customer, or a third party other than them, acquires physical possession of the ordered Products, and in any case, from the delivery by the Courier, by simply notifying Mipa Agricola. In accordance with Article 59, letters c), d), e) of the Consumer Code, the Consumer Customer cannot exercise the right of withdrawal for:
– Customized or clearly personalized products;
– Products that are likely to deteriorate or expire rapidly;
– Sealed products that are not suitable for return for hygiene reasons or for the protection of health and have been opened after delivery.
The right of withdrawal can be exercised by submitting any explicit statement of the decision to withdraw from the contract, via the contact form, via certified email (PEC) to mipaagricola@pec.it, or by registered mail (Raccomandata A/R) to Mipa Agricola s.s. di Michele Ruberto & C., Località Coppamontone, 71122 Foggia – Attention: Mipa Agricola Customer Service.
Once the withdrawal notice is received, Mipa Agricola will promptly communicate the instructions for the return of the goods. The return must take place within 48 hours after receiving the instructions from Mipa Agricola, in the original unopened packaging, in the original condition, and with the merchandise intact. The Customer must promptly inform Mipa Agricola of the shipment, which must be delivered to Mipa Agricola no later than 10 (ten) days from the date Mipa Agricola provided the return instructions. If the merchandise is not delivered to Mipa Agricola within the mentioned period or is not in its original unopened packaging, in its original condition and intact, the right of withdrawal will be voided. According to Article 5 of Legislative Decree 185/1999, if the Customer is a Consumer, they have the right to withdraw from the purchase contract for any reason, without needing to provide explanations and without any penalty, except as specified in this article. This right is reserved exclusively for individuals, for those Consumer Customers who, as defined in Article 1, purchase goods for purposes unrelated to their professional activity. The right of withdrawal is not available to professional Customers, whether individuals or legal entities, acting in relation to the contract of purchase in a professional capacity.
In any case, the right of withdrawal is subject to the following conditions: – The right applies to the product purchased in its entirety. It is not possible to exercise the right of withdrawal only on part of the purchased product; – The purchased item must be intact and returned in the original packaging, complete in all its parts (including packaging, documentation, and accessories), with no missing elements; – This right does not apply to products that are customized or clearly personalized.
The cost of returning the goods is entirely borne by the Consumer Customer, who will choose the carrier and pay the related expenses. The goods, until they are received at Mipa Agricola’s warehouse, are under the full responsibility of the Customer. In any case, Mipa Agricola will not be responsible for any damage, theft, or loss of the returned goods. Mipa Agricola, in the event of withdrawal, will refund the Consumer the full amount already paid, within 15 (fifteen) days from the date of receipt of the goods. It is the Customer’s responsibility to promptly provide the bank details for the refund.
The right of withdrawal will be completely voided if the essential condition of the integrity of the goods (packaging and/or its contents) is lacking in the following cases: – The original packaging has been opened, even if subsequently resealed; – The external packaging and/or internal original packaging is missing; – Integral elements of the Product are missing; – The product has been damaged for reasons other than its transport.
In case of the loss of the right of withdrawal, Mipa Agricola will return the purchased item to the Consumer, charging them for the shipping costs, once the Customer has paid these costs to Mipa Agricola.

X. Contract Termination and Express Termination Clause
Mipa Agricola has the right to terminate the contract by giving simple notice to the Customer with adequate and justified reasons; in this case, the Customer will be entitled solely to the refund of any sum already paid.
The Customer has the right to cancel the contract within 24 hours from the order by promptly notifying the Customer Service via email at info@mipaagricola.it.
The obligations assumed by the Customer in this contract are essential, so that, by express agreement, any failure by the Customer to fulfill even just one of these obligations will result in the automatic termination of the contract under Article 1456 of the Civil Code, without prejudice to Mipa Agricola’s right to take legal action for the compensation of further damages suffered.

XI. Jurisdiction and Competent Court
The sales contract between the Customer and Mipa Agricola is deemed to be concluded in Italy and governed by Italian Law. For the resolution of civil and criminal disputes arising from the conclusion of this distance sales contract, the territorial jurisdiction is exclusively that of the Court of Foggia.
The European Commission has established an online platform for alternative dispute resolution. This tool can be used by European consumers to resolve, out of court, any dispute related to or arising from contracts for the sale of goods and services concluded online. XII. Service Suspension
Mipa Agricola reserves the right to temporarily suspend the operation of the Site without any prior notice, for the time strictly necessary for any technical interventions required and/or appropriate to improve the quality of the services offered. Mipa Agricola may, at any time, interrupt access to the service offered on the Site to the User, if there are justified reasons (such as security issues, confidentiality breaches, or improper use of the Site), providing timely communication to the User in such cases.

XIII. Final Provisions

These General Terms and Conditions of Sale are governed by Italian law, in particular by Legislative Decree No. 206 of 6 September 2005, the Consumer Code, with specific reference to regulations concerning distance contracts, and by Legislative Decree No. 70 of 9 April 2003 concerning electronic commerce, where applicable.
The General Terms and Conditions of Sale may be periodically modified based on market developments and in compliance with any legislative updates and changes. Every update and modification will be regularly published on the Site, and Mipa Agricola invites the Customer to periodically check these updates and modifications.

By using the website/application of Mipa Agricola s.s. di Michele Ruberto & C., the Customer/User agrees to comply with these Terms and Conditions. The use of the Site after the publication of modifications implies acceptance of being legally bound by these updated and/or modified terms.
